FAQ
What is LemVega Capital?
LemVega Capital is a privately held, multi-vertical investment management firm headquartered in San Juan, Puerto Rico. Founded in 2021, the firm operates under a General Partner–Limited Partner (GP/LP) model, managing private funds across hedge funds, private equity, venture capital, real estate, digital assets, and structured finance.
Our platform is designed to serve accredited investors and institutional partners seeking access to alternative investments. LemVega maintains an international presence, with operational reach in the United States, the United Kingdom, and the United Arab Emirates.
Is LemVega Capital a registered or regulated entity?
LemVega Capital is a fully compliant Exempt Reporting Adviser (ERA) under SEC Rule 203(m)-1 and offers securities under Regulation D, Rule 506(c). The firm has filed both Form ADV and Form D with the U.S. Securities and Exchange Commission (SEC).
All fund offerings are exempt from public registration and are structured exclusively for accredited investors. Additionally, LemVega complies with the Puerto Rico Investment Companies Act (PRICA) and benefits from tax incentives under Act 60, granted by the Puerto Rico Department of Economic Development and Commerce.
Why is the firm based in Puerto Rico?
LemVega strategically chose Puerto Rico for its favorable tax and regulatory environment under Act 60, which offers:
-
0% capital gains tax for qualifying residents
-
2–4% corporate income tax
-
A jurisdiction aligned with U.S. federal law
Beyond tax efficiency, LemVega is actively building infrastructure and creating jobs on the island. The firm maintains a physical headquarters in San Juan and is committed to long-term economic development in the region.
What is LemVega’s legal and operational structure?
LemVega operates through a parent entity (LemVega Capital LLC) and a series of subsidiary LLCs and limited partnerships (L.P.s) for fund management and strategic initiatives. These include, among others:
-
LemVega HF Partners LLC
-
LemVega PE Partners LLC
-
LemVega VC Partners LLC
-
LemVega Crypto Partners LLC
-
LemVega Otori Partners LLC
-
LemVega Masterpiece Partners LLC
All entities are active and registered with the Puerto Rico Department of State .
Which investment funds does LemVega manage?
LemVega manages over a dozen funds under its exempt adviser umbrella. Each fund is governed by a Limited Partnership Agreement (LPA), with clear risk, fee, and liquidity terms outlined in the Private Placement Memorandum (PPM).
What types of investors are eligible?
LemVega funds are available exclusively to accredited investors, as defined under SEC Rule 501(a). Eligible investors include:
-
Individuals with a net worth of $1 million+ (excluding primary residence)
-
Individuals with income exceeding $200,000 annually ($300,000 with spouse) for the last two years
-
Trusts or institutions with assets exceeding $5 million
The minimum investment is typically $25,000, though this may vary by fund.
Why doesn’t LemVega disclose fund performance publicly?
As a private issuer operating under Regulation D, Rule 506(c), LemVega is prohibited from publicly advertising or publishing performance metrics. Fund performance is made available only to verified investors via secure portals, following a compliance-driven due diligence process.
Public disclosure of returns would violate U.S. securities laws and undermine our regulatory standing.
What are your management and performance fees?
Fees are fund-specific but generally follow this structure:
-
Management Fee: Up to 2% annually (pro-rated monthly)
-
Performance Fee: 20% of profits, subject to a high-water mark
-
Hurdle Rate: Graduated scale based on annualized returns
-
Lock-up Period: Minimum 12 months for hedge funds; variable for other funds
-
Withdrawal Terms: Allowed with advance notice and subject to fund-specific provisions
Complete fee disclosures are available in the applicable PPM and LPA.
Why is LemVega sometimes the subject of public skepticism?
As a young, woman-led, Gen Z-founded financial institution operating in a high-barrier industry, LemVega has at times attracted skepticism. This has been exacerbated by misinformation from former contractors or competitors. In response, the firm has pursued legal action as plaintiff in multiple cases to protect its reputation and intellectual property.
Importantly, LemVega has never been sanctioned or fined by any regulatory body. The firm operates with full legal oversight and is supported by a strong compliance and advisory team.
Why can’t I find online reviews or public investor feedback?
LemVega operates in the private investment space. Unlike consumer-facing financial services, we do not solicit public reviews or offer products to the general public. All investor communications are confidential and subject to non-disclosure.
This discretion is standard in private fund management and ensures compliance with SEC and PRICA rules.
Who leads LemVega Capital?
Caroline Farah Lembck, Founder and CEO, leads LemVega with a focus on institutional discipline, strategic growth, and cross-border scalability. A graduate at 19 and entrepreneur by 21, Lembck has overseen LemVega’s expansion into hedge funds, private equity, and bank licensing. She is supported by:
